{"id":18386,"date":"2023-02-13T16:51:16","date_gmt":"2023-02-13T15:51:16","guid":{"rendered":"https:\/\/www.arkara.law\/?p=18386"},"modified":"2023-04-24T15:57:55","modified_gmt":"2023-04-24T13:57:55","slug":"bail-commercial-comment-exercer-une-activite-connexe-ou-complementaire","status":"publish","type":"post","link":"https:\/\/www.arkara.law\/index.php\/2023\/02\/13\/bail-commercial-comment-exercer-une-activite-connexe-ou-complementaire\/","title":{"rendered":"Bail commercial : comment exercer une activit\u00e9 connexe ou compl\u00e9mentaire"},"content":{"rendered":"\n<p>Quel locataire commercial ne s\u2019est jamais questionn\u00e9 sur la possibilit\u00e9 d\u2019avoir plusieurs \u00ab&nbsp;cordes \u00e0 son arc&nbsp;\u00bb par l\u2019adjonction d\u2019activit\u00e9s.<\/p>\n\n\n\n<p>Oui mais voil\u00e0, tout locataire commercial est li\u00e9 par la clause de&nbsp;destination&nbsp;vis\u00e9e dans le&nbsp;bail&nbsp;commercial.<\/p>\n\n\n\n<p>Il r\u00e9sulte de l\u2019<a href=\"https:\/\/www.lexis360intelligence.fr\/codes\/Code_civil\/SLD-LEGITEXT000006070721\/document\/LG_SLD-LEGIARTI000029336832_0WJN?doc_type=sources_code&amp;source_nav=FP_FP-529316_0KT0&amp;source=renvoi\" target=\"_blank\" rel=\"noreferrer noopener\">article&nbsp;1728 du Code civil<\/a>&nbsp;qu\u2019il doit utiliser les locaux lou\u00e9s suivant la&nbsp;destination&nbsp;donn\u00e9e par le&nbsp;bail.<\/p>\n\n\n\n<p>Le locataire ne peut donc en principe exercer une&nbsp;activit\u00e9&nbsp;non vis\u00e9e au&nbsp;bail&nbsp;lorsque la&nbsp;destination&nbsp;est pr\u00e9cis\u00e9ment stipul\u00e9e<\/p>\n\n\n\n<p>Le statut des baux commerciaux pr\u00e9voit cependant une d\u00e9rogation.<\/p>\n\n\n\n<p>Le locataires dispose \u00e0 son profit d\u2019une proc\u00e9dure dite de d\u00e9sp\u00e9cialisation qui est r\u00e9gie par les <a href=\"https:\/\/www.lexis360intelligence.fr\/codes\/Code_de_commerce\/SLD-LEGITEXT000005634379\/document\/LG_SLD-LEGIARTI000039280354_0WJN?doc_type=sources_code&amp;source_nav=FP_FP-529316_0KT0&amp;source=renvoi\" target=\"_blank\" rel=\"noreferrer noopener\">articles&nbsp;L.&nbsp;145-47 et suivants du Code de commerce<\/a>, et qui leur permettent de changer d\u2019activit\u00e9 en cours de&nbsp;bail&nbsp;, sans que le bailleur dispose d\u2019un droit de refus discr\u00e9tionnaire.<\/p>\n\n\n\n<p>Sous r\u00e9serve de respecter un processus pr\u00e9cis, le locataire peut demander \u00e0 exercer une autre&nbsp;activit\u00e9&nbsp;que celle vis\u00e9e au&nbsp;bail&nbsp;au travers de la proc\u00e9dure l\u00e9gale de d\u00e9sp\u00e9cialisation&nbsp;:<\/p>\n\n\n\n<ul><li><strong><u>partielle<\/u><\/strong> qui lui conf\u00e8re la possibilit\u00e9 de s\u2019adjoindre une activit\u00e9<strong>&nbsp;connexe&nbsp;(<\/strong>similitude des produits et des m\u00e9thodes de travail) <strong>ou compl\u00e9mentaire (<\/strong>une&nbsp;activit\u00e9&nbsp;qui doit \u00eatre unie \u00e0 l\u2019activit\u00e9 principale par un lien suffisant). Cette activit\u00e9 connexe ou compl\u00e9mentaire se greffe sur les activit\u00e9s autoris\u00e9es au&nbsp;bail&nbsp;: elle ne peut la remplacer, ni \u00eatre pr\u00e9pond\u00e9rante.<\/li><li><strong><u>Pl\u00e9ni\u00e8re<\/u><\/strong> pour l\u2019adjonction d\u2019une activit\u00e9 distincte qui, elle, peut remplacer la destination pr\u00e9vue au bail et \u00eatre exerc\u00e9e de mani\u00e8re pr\u00e9pond\u00e9rante.<\/li><\/ul>\n\n\n\n<p>A c\u00f4t\u00e9 de ce r\u00e9gime l\u00e9gal pr\u00e9vu par le statut des baux commerciaux, les Tribunaux ont d\u00e9velopp\u00e9 depuis de nombreuses ann\u00e9es la notion<strong>&nbsp;d\u2019activit\u00e9 incluse&nbsp;<\/strong>: le locataire pourra en effet exercer directement des activit\u00e9s (sans avoir besoin de respecter les r\u00e8gles de d\u00e9sp\u00e9cialisation) qui ne sont pas pr\u00e9vues au&nbsp;bail&nbsp;, dans la mesure o\u00f9 elles sont l\u2019accessoire de l\u2019activit\u00e9 principale.<\/p>\n\n\n\n<p><strong><u>Pr\u00e9cisions importantes&nbsp;:<\/u><\/strong><\/p>\n\n\n\n<ul><li>Il faut que la nouvelle&nbsp;activit\u00e9&nbsp;soit conforme au r\u00e8glement de copropri\u00e9t\u00e9, et ce sous peine de r\u00e9siliation du&nbsp;bail&nbsp;&nbsp;;<\/li><\/ul>\n\n\n\n<ul><li>la vente de plats \u00e0 emporter et la restauration sur place, ne sont pas des activit\u00e9s incluses&nbsp;<em>(<a href=\"https:\/\/www.lexis360intelligence.fr\/document\/JP_KODCASS-0020023_0KRH?doc_type=jurisprudence_courcassation&amp;source_nav=FP_FP-529316_0KT0&amp;source=renvoi\" target=\"_blank\" rel=\"noreferrer noopener\">Cass. 3e&nbsp;civ., 26&nbsp;mars 2020, n\u00b0&nbsp;18-25.893<\/a>)<\/em>.<\/li><\/ul>\n\n\n\n<p>Pour toute pr\u00e9cision compl\u00e9mentaire, contactez Ma\u00eetre Olivier G\u00e9din.<\/p>\n\n\n\n<p><strong><a href=\"https:\/\/www.arkara.law\/index.php\/olivier-gedin\/\">Olivier G\u00c9DIN<\/a><br><\/strong>Avocat au Barreau de Paris<br>7, avenue Franklin D.
